2. Engineering Services
DIAITI provides software engineering, AI integration, and consulting services. Specific deliverables, timelines, and costs for custom projects will be outlined in a separate Statement of Work (SOW) or Contract agreed upon by both parties.
3. Intellectual Property
Client Ownership: Upon full payment, the client owns the final code, designs, and deliverables specifically created for their project.
Background Technology: DIAITI retains ownership of its pre-existing code libraries, tools, and methodologies used to build the deliverables. Clients are granted a perpetual, non-exclusive license to use these background technologies as part of the final product.
4. User Responsibilities
When using our services or website, you agree not to:
- Use our systems for any unlawful purpose.
- Attempt to breach our security measures or reverse engineer our internal tools.
- Misrepresent your identity or affiliation with any person or entity.
5. Payment Terms
Payment schedules for engineering services are defined in individual contracts. Generally, we operate on a milestone basis or monthly retainer. Late payments may result in a temporary suspension of services or project delays.
6. Limitation of Liability
In no event shall DIAITI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.
7. Termination
We may terminate or suspend access to our service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of Indonesia, without regard to its conflict of law provisions.
9. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion.
